This website www.homployeehub.com (“Site”) is owned and operated by Z-Suite LLC dba HomployeeHub (“HomployeeHub,” “we,” or “us”) and is maintained on the wix.com platform. Wix.com provides us with the online platform that allows us to sell our products and services to you. By visiting the Site and/or making a purchase on the Site, you agree to be bound by the following terms and conditions (“Terms of Service,” or “Terms”), including any policies, practices, or procedures outlined herein, which apply to all users of the Site in any capacity. By accessing the Site, you approve that you have read, understood, and agree to be bound by these Terms. If these Terms are considered an offer, acceptance is expressly limited to these Terms of Service. 

1. Online Site Use Terms

In order to access our Site, you must be at least the legal age of majority in your jurisdiction, and possess the legal right and authority to enter into these Terms as a binding agreement. You are not allowed to use this Site and/or receive our services if doing so is prohibited under any law or regulation applicable to you, and you agree to refrain from using any of our products or services to conduct any illegal or unauthorized activities. A breach or violation of any of these Terms results shall result in immediate termination of any relationship with HomployeeHub with or without notice. 

2. Electronic Communications

Upon accessing our Site or sending us emails, you consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this Site. You hereby agree that all invoices, contracts, disclosures, disclaimers, terms, conditions, notices, or other communications satisfy any legal requirement that such communications be in writing. 

3. Conditions to Use of Site and Services/Products

We may elect, at our own discretion and without consideration or notice, refuse service to anyone at any time. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the service, use of the service, or access to the service, or any content on the Site through which the service is provided, without express written permission by a HomployeeHub owner. 

4.  Accuracy and Timeliness of Information 

Neither HomployeeHub nor any of its associated third parties, vendors, contractors, employees, assigns, or affiliates provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this Site for any particular purpose. You hereby acknowledge that such information and materials may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law. Any reliance upon the material and information on this Site is at your own risk. 

5. Errors and Omissions

We make every reasonable effort to ensure that the information on our Site is accurate, however, there may be instances where errors, inaccuracies or omissions relate to product descriptions, pricing, offers, coupons, promotions, deals, charges, fees, taxes, timing concerns or availability. We reserve the right to correct any such errors and to modify or cancel orders if any information is inaccurate at any time without prior notice or additional consideration, including after the time at which you submit an order. 

6. Contractual Terms

When purchasing an item or service, you agree that you are responsible for reading these Terms, applicable item description(s) and that upon making a payment (partial or otherwise) of a HomployeeHub invoice, you enter into a legally binding contract to make the requisite payment. Information about pricing and sales tax is available upon request.

7. Returns/Refunds

All sales are final, no refunds or exchanges unless defective. For any defective product, you must return the product and any included accessories and packaging along with the original receipt or gift receipt within 14 calendar days of the date you received the product. We will make every effort to exchange the product for the same or a substantially similar product within a reasonable time-frame. If we are unable to replace the product for the same or a substantially similar product, we will refund your purchase within a reasonable time-frame. You acknowledge that we cannot provide refunds for any live virtual event (e.g., art or cooking or mixology class, stand-up comedy or MC'd experience) where materials have been shipped or hosts have been booked. If materials have not been sent nor hosts booked, then you may cancel a live virtual event for free (100% refund) if you provide at least two weeks notice, or for a 50% refund if the cancellation is less than two weeks out. Additionally, for all meal orders, if you wish to cancel your order, you must do so within 5 business days of the date of your order in order to receive a refund. No refunds or reimbursements are provided when the prices of meals ordered fall below the amount allotted per employee. To contact us regarding a return or refund, please email concierge@homployeehub.com and include the order number in the subject of your communication. 

8. Limitation of Liability

Your use of our services, including any information or materials on the Site are entirely at your own risk. We make no guarantees, representations or warranties that your use of our services will be uninterrupted, timely, secure or error free. We do not warrant that the use of our services will be accurate or reliable. You agree that we may remove the service periodically and indefinitely without notice to you. All services, products, resources, and any other materials or information are provided “as is” without any warranties, representations, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement. In no case shall HomployeeHub or any of its members, managers, employees, affiliates, interns, subsidiaries, owners, agents, contractors, suppliers, vendors, third-party providers or licensors (“Related Parties”) be liable for any injury, loss, claim or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, as permitted by law, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses arising out of or relating to the use of, or inability to use, our services or this Site. 

9.  Indemnity

You agree to defend, indemnify, and hold harmless HomployeeHub and its Related Parties from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or any related agreements or policies referenced or incorporated herein, or your violation of any applicable law or the rights of a third-party. 


10.  Severability

If any portion of these Terms of Service is determined to be void or unenforceable, it shall be severed and deemed separate from the remaining terms contained herein and shall not affect the validity and enforceability of any other portion of the Terms of Service. 


11. Termination

These Terms are effective until terminated by us or you. You may effectuate a termination of the Terms of Service by providing written notice or ceasing use of our services or Site. If we determine (or have reason to believe) that you have failed to comply with this Terms of Service, we may terminate the agreement without notice to you and you are obligated and liable for all amounts owed prior to said termination. The obligations and liabilities of the parties incurred prior to the termination date survive the termination of the agreement. 


12. Choice of Law

These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of the State of Minnesota, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Minneapolis, Minnesota. 


13.  Service, Product or Price Changes

Prices for our services, products, memberships or any other offering are subject to change without notice. We reserve the right at any time to modify or discontinue any service, product, membership or other offering (or any part thereof) without notice at any time. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance related thereto. We have undertaken all reasonable efforts to ensure that any images, descriptions, or information related to a product or service is displayed as accurately as possible, however we offer no guarantees as to the accuracy. We reserve the right to limit the sales of our products and services based on geography or other criteria on a case-by-case basis. Any offer for "Free Shipping" relates to shipping within the forty-eight contiguous states of the United States of America (shipping outside of that geographic scope, for example international shipping, may result in additional charges). We do not warrant that the quality of the products or services will meet your personal expectations or that any errors will be corrected.

14. Billing, Account and Order Information

You agree to provide accurate, comprehensive and updated purchase and account information for all purchases made with HomployeeHub. You agree to promptly provide applicable updates, including email addresses and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. We reserve the right in our sole discretion to refuse any order you place with us. We will make every attempt to contact you at the contact information (email, phone or physical address) that you provided in the event an order is cancelled or refused. 

16.  Accounts/Passwords

You agree to be solely responsible for maintaining the confidentiality of any password or account information and restricting access and security for your computer or device. You agree that any registration information on our Site is accurate, current, true and complete. 


17.  Links to Third Party Sites or Tools

Through our Site, you may be able to link to other consumer applications, tools or websites outside of HomployeeHub's control. HomployeeHub has no authority or ability to control the nature, content and availability of those third party applications, tools or websites. The inclusion of any links to other applications does not imply a recommendation or endorsement of any services, products, views, materials, or information contained therein. We maintain no responsibility for the content of the linked site or application. We reserve the right to remove in our sole and absolute discretion any links, posts or content on the Site at any time. Complaints regarding a third party application or site should be directed to that third party. 

18.  Submissions on HomployeeHub’s Site (Feedback, Posts, Comments, Media, etc.)

You agree that any content posted to our Site, including but not limited to feedback, posts, comments, media, ideas, suggestions, proposals, plans or other materials (“Materials”) may be used by us without restriction. Following a product or service fulfillment, we may use the name and/or logo of a client for marketing purposes. HomployeeHub is not obligated to respond to, pay for, or maintain any Materials confidentially. At our sole discretion, we may change, modify, remove, delete, or edit content on the site. You agree that your comments will not contain libelous or otherwise unlawful, abusive, offensive or obscene material or contain any computer virus or other malware. You are solely responsible for the accuracy of your comments and we take no responsibility and assume no liability for any comments posted by you or any third party. Any Materials posted on our Site or submitted via electronic communications are not private communications and may be used by HomployeeHub for any purpose whatsoever, including but not limited to, marketing or developing products or services.

Our Site and its content is a copyright of Z-Suite LLC dba HomployeeHub. All rights reserved. Any redistribution or reproduction of any part of its contents is strictly and expressly prohibited. You may not distribute, transmit, store or otherwise use the content on the Site without HomployeeHub’s express written permission. 


20.  Trademarks

All trademarks, service marks, and trade names (“Marks”) are the intellectual property of and proprietary to Z-Suite LLC dba HomployeeHub. You may not display or reproduce the Marks in any manner without the prior written consent of Z-Suite LLC dba HomployeeHub, and you may not remove any Marks on any content or materials on the Site.  The term "Homployee" is a trademark of Z-Suite LLC dba HomployeeHub and may not be used in any manner without prior express written consent. 

21.  DMCA Notice 

In accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512), if you believe that your work or intellectual property has been posted on HomployeeHub’s site (www.homployeehub.com) or used in any other HomployeeHub application, please provide the following information to our designated copyright agent identified below: (a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (b) a description of the copyrighted work that you claim has been infringed upon; (c) a direct link or full description of the infringing material; (d) your address, telephone and email address, (e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner or by its agent or the law; (f) a statement by you made under penalty of perjury that the above information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes. These Terms and any policies or operating rules on our Site regarding the Terms constitute the entire agreement and understanding between you and HomployeeHub and govern your relationship in all respects with HomployeeHub, superseding and replacing any ancillary agreements. Any ambiguities in this agreement shall not be construed against the drafter of these Terms.


26.  Effective Date

This Terms of Service is effective as of the date of its posting on the Site, and is effective as amended from time-to-time at HomployeeHub’s sole election, including the most recent version dated January 23, 2021.
